This month’s edition, written by James Hawkins considers a decision of the Court of Appeal concerning the circumstances in which a term may be implied in a commercial agreement, as well as a Commercial Court case dealing with the relationship between penalty clauses and terms providing for the forfeiture of sums already paid. A case, in which Peter Knox QC appeared, involving issues arising out of the termination of a distributorship agreement is also discussed.
